Digital Healthcare Technology Platform Terms of Use
CancerIQ, Inc., (“CancerIQ,” “we,” “us,” “company”, or “our”) is a digital healthcare technology platform used by healthcare providers to collect comprehensive patient data, assess hereditary cancer risk and support clinical decision making. These Terms of Use govern your access to and use of the CancerIQ digital healthcare platform and any related applications (collectively, the “Platform” ) made available to you by your healthcare provider or another authorized organization. These Terms of Use do not apply to CancerIQ’s public websites, including canceriq.com, which are governed by separate terms of use. Because the Platform is made available to you through your healthcare provider, information you provide may be used and disclosed as permitted by your provider and applicable law, including HIPAA and any applicable Business Associate Agreement (“BAA”) between CancerIQ and your provider.
IMPORTANT: PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE PLATFORM.
1. Acceptance
By indicating your acceptance and registering for an account on the Platform, you agree to all terms and conditions of this Agreement. If you do not agree with the terms and conditions of this Agreement, decline where instructed and you will not receive access to Platform features that require user login.
2. Privacy Policy
Your use of the Platform is also subject to the CancerIQ Platform Privacy Policy, which describes how information, including protected health information (“PHI”), is collected, used, and disclosed. You can access the Privacy Policy here https://www.canceriq.com/privacy.
3. Relationship With Your Provider
The Platform is made available to you through your healthcare provider or another authorized organization. Your provider determines whether you may access the Platform and is responsible for managing your enrollment, permissions, and use of the Platform as part of your care. Your provider also oversees the accuracy and completeness of the information used in your clinical evaluation and remains solely responsible for all medical judgments, recommendations, and decisions made in connection with your care.
CancerIQ does not provide medical care, practice medicine, or make clinical decisions. Any clinical use of the Platform occurs under the direction, control, and professional judgment of your healthcare provider.
4. License Grant
Subject to your compliance with these Terms, CancerIQ grants you a limited, revocable, non‑exclusive, non‑transferable license to access and use the Platform solely as authorized by your healthcare provider or the organization that provisioned your access, and only for purposes related to your care or participation in an authorized clinical or administrative program.
The Platform is proprietary to CancerIQ. Except for the limited license expressly granted in these Terms, no rights or interests in the Platform or its content are transferred to you. You may not sublicense, assign, or transfer this license, nor permit any third party to access or use the Platform through your account.
This license automatically terminates upon the termination of these Terms or the termination of the agreement between CancerIQ and the organization through which you receive access to the Platform.
5. Scope of Use
The Platform supports multiple user types, including patients, clinicians, administrators, and other authorized personnel. Your permitted use depends on your role and the permissions assigned to you by your healthcare provider or organization. You agree to use the Platform only in accordance with your assigned role and applicable policies.
6. Intellectual Property
The Platform, including all software, interfaces, algorithms, risk assessment logic, decision support tools, workflows, designs, text, graphics, and other materials provided by CancerIQ, is owned by or licensed to CancerIQ and is protected by intellectual property and other laws. Except for the limited rights expressly granted to you under this Agreement, no rights are transferred to you, and all rights in and to the Platform are reserved by CancerIQ.
7. User Account
To use the Platform, you must register for a user account. You will create a user ID and password that allow you to access the Platform. You agree to take reasonable efforts to prevent unauthorized use or disclosure of your user ID and password and to protect the confidentiality of information accessible through the Platform.
If you believe your user ID or password has been compromised, you must notify your healthcare provider or the organization that provided your access to the Platform as soon as possible. Your provider is responsible for managing your account credentials and determining any necessary security or privacy actions.
8. User Support & Communication
By registering for a user account, you agree that CancerIQ’s staff and the healthcare provider or organization that provisioned your access may contact you to assist you with the Platform and to support your participation in the clinical program or workflow in which the Platform is used. You also agree that CancerIQ may contact you using the information you provided at registration for purposes related to your use of the Platform, including service updates, educational materials, support communications, and requests for feedback about your experience.
9. No Medical Advice & Clinical Decision Support
The Platform is designed to collect your personal health related information and support hereditary cancer risk assessment workflows. As part of these workflows, the Platform may display risk scores, flags, or other forms of clinical decision‑support information. These outputs are intended solely to provide general informational support. They are not a substitute for professional medical advice, do not constitute diagnosis or treatment, and should not be interpreted as medical directives. Any information presented through the Platform must be independently reviewed, interpreted, and verified by your healthcare provider, who remains responsible for all clinical decisions related to your care.
CancerIQ does not practice medicine, provide medical care, or make clinical decisions. If you believe you are experiencing a medical emergency, you should contact your doctor or call 911 immediately.
10. Prohibited Uses
You agree not to use the Platform, or attempt to use the Platform, in any way that:

accesses or attempts to access data you are not authorized to view

interferes with, disrupts, or compromises the security, integrity, or performance of the Platform

uploads, transmits, or introduces malicious code, viruses, or other harmful components

uses the Platform for any unlawful, fraudulent, harmful, or unauthorized purpose

reverse engineers, decompiles, disassembles, or attempts to derive the source code of the Platform
-
uses the Platform in a manner inconsistent with your assigned role or the permissions granted to you by your healthcare provider or organization

circumvents or attempts to circumvent authentication, access controls, or other security mechanisms
-
impersonates any person or misrepresents your identity or affiliation
-
copies, downloads, stores, transmits, or redistributes PHI or PII except as expressly permitted by your healthcare provider

uses automated scripts, bots, scrapers, or other automated means to access the Platform or extract data
-
uploads or transmits content that is unlawful, defamatory, harassing, threatening, obscene, or otherwise inappropriate
-
infringes or violates the intellectual property, privacy, or other rights of any third party
-
interferes with clinical workflows or alters information in a manner that could affect patient care
-
uses the Platform for marketing, advertising, solicitation, or other commercial purposes unrelated to your clinical program
-
violates any applicable law, regulation, or the policies of your healthcare provider or organization
11. Information You Provide Through The Platform
The Platform allows you to enter personal and health‑related information that may be used by your healthcare provider as part of your clinical evaluation and care. When this information includes PHI or PII, CancerIQ will use and disclose it only as permitted by applicable law, including HIPAA, and by the BAA in place with your healthcare provider, and the CancerIQ Platform Privacy Policy. Your healthcare provider is responsible for reviewing and verifying the accuracy of information used in your care.
12. Third‑Party Integrations
The Platform may integrate with third‑party systems and services, such as laboratories, electronic health record systems, clinical decision‑support tools, or other applications used by your healthcare provider. These integrations are authorized and managed by your healthcare provider or the organization that provisioned your access. CancerIQ does not control and is not responsible for the content, performance, or practices of any third party systems, and is not liable for any errors, delays, or data handling practices of those systems.
13. No Warranty
The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, CancerIQ disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non‑infringement. CancerIQ does not warrant that the Platform will be uninterrupted or error‑free, that any information provided through the Platform will be accurate or complete, or that the Platform will meet your clinical or operational requirements. Any clinical decisions or actions taken in reliance on information from the Platform are the sole responsibility of your healthcare provider.
14. Limitation of Liability
To the fullest extent permitted by law, CancerIQ and its affiliates are not liable for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of, or inability to use, the Platform. CancerIQ is not responsible for any clinical decisions, actions, or omissions made by your healthcare provider, or for any reliance placed on information generated or displayed by the Platform. Your healthcare provider is solely responsible for verifying the accuracy of information used in your care and for all medical judgments and decisions.
15. Termination
CancerIQ may terminate your access to the Platform if we reasonably believe you are in violation of this Agreement. This Agreement terminates immediately upon termination of the agreement between CancerIQ and the organization through which you receive access.
16. Changes To These Terms
CancerIQ may update these Terms from time to time to reflect changes to the Platform, applicable law, or operational practices. Updated Terms will be effective upon posting or as otherwise communicated through the Platform. Your continued access to or use of the Platform after the effective date of any updates constitutes your acceptance of the revised Terms.
